What Is a Legal Compliance Check?

A Legal Compliance Check is a review of a company's legal position to determine whether its corporate documents, registered information, business activities, KBLI classifications, business licensing and reporting obligations are consistent with its actual operations and applicable requirements. The review may cover Deeds and AHU records, NIB and OSS data, KBLI, Standard Certificates, business licenses, PB UMKU, corporate reporting and other documents relevant to the company's activities.

Why Check Compliance?

A Company Can Be Operating Without Realizing That Its Legal Compliance Needs Attention

Compliance issues are often discovered only when a company needs to amend its corporate documents, obtain additional licenses, bring in an investor, enter into a major transaction or deal with a government administrative process.

01

Corporate Data Is Not Synchronized

Information contained in the Deeds, AHU, OSS, NIB or other company records may become inconsistent after corporate changes.

02

KBLI Does Not Match Operations

The activities actually carried out by the company may differ from the KBLI classifications recorded or activated through OSS.

03

Business Licensing Is Incomplete

Having an NIB does not necessarily mean that every licensing requirement for a particular business activity has been completed.

04

Reporting Has Not Been Completed

The company may have periodic investment, corporate or other reporting obligations that have not been properly maintained.

05

Documents Are Outdated

Changes in shareholders, management, address, capital or business activities may require updates to related records.

06

Risks Are Discovered Too Late

Compliance gaps may only become visible when a company urgently needs a corporate action, license or transaction to proceed.

Foreign Investment Compliance

Legal Compliance Checks Are Particularly Relevant for PT PMA Companies

A Foreign Investment Company (PT PMA) may need to consider multiple compliance areas together, including its shareholding and capital structure, business activities and KBLI classifications, investment value, NIB and OSS licensing, investment reporting obligations and other corporate requirements. Changes in regulations or business activities may also require the company's existing legal structure and licensing position to be reviewed.

What Can a Legal Compliance Check Identify?

The objective is not simply to identify missing documents. It is to help the company understand its current legal position and determine which issues may need to be addressed first.

Action Required

Compliance Gap

A document, license, reporting obligation or other compliance matter appears incomplete or inconsistent based on the review scope.

Further Review

Potential Risk

A matter that may not necessarily constitute non-compliance but could create legal, licensing or administrative risk and requires further evaluation.

Legal Compliance Check Process

Determine the documents and information required for the agreed review scope.

08

Corrective actions can be handled separately based on the company's needs.

Important

Having an NIB Does Not Necessarily Mean All Business Licensing Is Complete

A company's licensing requirements depend on its business activities, KBLI classifications, risk level, location and sector. Depending on the activity, additional requirements may include a Standard Certificate, business license, PB UMKU, basic requirements or other sector-specific approvals. A Legal Compliance Check therefore looks beyond whether the company simply has an NIB and considers whether its licensing corresponds with its actual activities.

When Should You Review?

Do Not Wait Until a Compliance Problem Appears

A compliance review can be useful at different stages of a company's lifecycle, particularly when the business or regulatory environment has changed.

01

Before a Major Transaction

Before investment, cooperation, restructuring or another material corporate transaction.

02

After Years of Operation

To determine whether existing legal documents and licensing still correspond with the company's current activities.

03

Before Corporate Changes

Before changing shareholders, directors, commissioners, capital, address or business activities.

04

After Regulatory Changes

To evaluate whether changes in regulation affect the company's existing structure, KBLI or business licensing.

05

Before Bringing in Investors

To improve the company's readiness before an investor review or formal legal due diligence process.

06

Periodic Compliance Review

As a preventive review to identify legal documents, licenses or reports that may require attention.

Compliance Check vs Due Diligence

Legal Compliance Check Is Not the Same as Full Legal Due Diligence

A Legal Compliance Check is generally focused on reviewing the company's current compliance position and identifying areas that may require corrective action. Legal Due Diligence is commonly performed for a specific transaction and may involve a broader investigation into corporate matters, contracts, assets, liabilities, disputes, employment, intellectual property and other legal risks. The appropriate scope depends on the purpose of the review.

Service Fees

How Much Does a Legal Compliance Check Cost?

The service fee depends on the type of company, number of corporate documents, KBLI classifications and OSS projects, business activities and overall scope of the review.
