What Is an Individual Business in Indonesia?

An Individual Business is a business activity conducted by an individual entrepreneur in their own name. Under Indonesia's Risk-Based Business Licensing framework, an eligible Indonesian individual may register as a business actor through OSS and obtain the required business registration and licensing. An Individual Business is different from an Individual Company (Perseroan Perorangan) because it does not establish a separate limited liability company.

Understanding the Structure

Key Characteristics of an Individual Business

An Individual Business may be suitable for an individual entrepreneur who intends to conduct business in their own name without first establishing a separate legal entity such as a limited liability company.

01 / OWNER

One Individual

The business is operated by an individual entrepreneur in their own name.

02 / STRUCTURE

Not a PT

An Individual Business is not a limited liability company and does not have shares, Directors, Commissioners or a General Meeting of Shareholders.

03 / OSS

NIB Registration

An individual business actor may register business activities through OSS and obtain an NIB in accordance with the applicable requirements.

04 / LICENSING

Risk-Based Licensing

Licensing requirements depend on the KBLI, risk classification, business scale, location and applicable sector-specific regulations.

Important Distinction

Individual Business vs Individual Company

Although both structures may involve only one individual, an Individual Business and an Individual Company (Perseroan Perorangan) are legally different.

Individual Business

Business in Your Own Name

The entrepreneur conducts business directly as an individual without establishing a separate limited liability company.

  • Operated by an individual
  • No shareholding structure
  • No Directors or Commissioners
  • Business registration through OSS
Individual Company

Separate Legal Entity

An Individual Company or Perseroan Perorangan is a form of limited liability company established under the special framework applicable to qualifying micro and small businesses.

  • Established by one individual
  • Has separate legal entity status
  • Has company capital and shares
  • Separate corporate administration

Documents & Information

Tax identification information where required for the relevant administrative process.
Active telephone number and email address.
Business address or location information.
Description of the business activities to be conducted.
Appropriate KBLI classification for the business activities.
Business scale and other information required by the OSS system.
Additional supporting documents if the activity requires basic requirements or sector-specific business licensing.
KBLI Indonesian Standard Industrial Classification

Choose the Appropriate KBLI Before Applying for an NIB

KBLI classifies the business activity conducted by the entrepreneur and is an important basis for determining the risk level, Business Licensing, requirements and obligations applicable to the activity. The KBLI should therefore reflect the actual business activity rather than being selected only because its title appears similar.

Risk-Based Business Licensing

NIB and Business Licensing Depend on the Risk Level

Indonesia applies a Risk-Based Business Licensing framework. The licensing requirements for each activity may therefore differ according to its risk classification and the applicable KBLI requirements.

Risk Level

Low Risk

For qualifying low-risk activities, the NIB may constitute the required Business License, subject to the applicable obligations.

Risk Level

Medium-Low Risk

Licensing may involve an NIB and a Standard Certificate in the form required under the applicable risk-based licensing framework.

Risk Level

Medium-High Risk

Licensing may require an NIB and a Standard Certificate that must satisfy the applicable verification process before certain activities may be carried out.

Risk Level

High Risk

High-risk activities may require an NIB and the relevant business license before the regulated business activity may be conducted.

Not always. The NIB is an important business identification document under Indonesia's Risk-Based Business Licensing framework. However, the licensing process does not necessarily end with the NIB. Depending on the KBLI, risk level, location and sector, the business may also require a Standard Certificate, Business License, PB UMKU, basic requirements or other approvals before or during its operations.

Service Fees

How Much Does Individual Business Registration Cost?

The service fee depends on the business activities, number of KBLI classifications, risk level and the additional Business Licensing required.

Legal & Compliance

Individual Business Licensing in Indonesia

Business registration and licensing should reflect the business actor, actual activities and applicable risk classification under Indonesia's Risk-Based Business Licensing framework.

An Individual Business does not create a legal entity separate from its owner. As the business develops, adds other owners, requires a different ownership structure, or needs a more formal separation between the entrepreneur and the business, another legal structure may need to be considered based on the applicable requirements.
